1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Clinic Connect platform and services ("Service") operated by Clinic Connect, Inc. ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you disagree with any part of these terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Clinic Connect provides a comprehensive healthcare practice management platform that includes patient management, scheduling, electronic health records, billing, and related healthcare administration tools.

Our Service is intended for use by licensed healthcare providers, medical practices, and their authorized staff members for legitimate healthcare purposes.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be a licensed healthcare provider or an authorized representative of a healthcare practice to use our Service. You represent that you have the legal authority to bind your practice to these Terms.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful purpose or to solicit unlawful activity
  • Violate any applicable federal, state, or local laws or regulations
  • Infringe upon or violate the rights of others
  • Harass, abuse, or harm other users
  • Transmit any malicious code, viruses, or other harmful content
  • Attempt to gain unauthorized access to our systems or networks
  • Use automated systems to access the Service without our written consent
  • Share your account credentials with unauthorized individuals

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We are committed to HIPAA compliance and maintaining the security and confidentiality of protected health information (PHI) in accordance with applicable healthcare privacy regulations.

6. Intellectual Property Rights

6.1 Our Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Clinic Connect and its licensors. The Service is protected by copyright, trademark, and other laws.

6.2 Your Rights

You retain ownership of any data you upload to our Service. By using our Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing our services to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide to us regarding our Service may be used by us without restriction or compensation to you.

7. Payment Terms

7.1 Subscription Fees

Use of our Service requires payment of subscription fees as described in your selected plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

7.2 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days advance notice of any price changes, and you will have the opportunity to cancel your subscription before the new pricing takes effect.

7.3 Late Payment

If payment is not received by the due date, we may suspend your access to the Service until payment is made. We reserve the right to charge late fees for overdue accounts.

8. Service Availability and Support

We strive to maintain 99.9% uptime for our Service, but we cannot guarantee uninterrupted access. We may perform scheduled maintenance that temporarily affects Service availability, and we will provide advance notice when possible.

Support is provided during business hours (Monday-Friday, 9 AM-6 PM PST) with emergency support available 24/7 for critical issues affecting patient care.

9. Limitation of Liability

In no event shall Clinic Connect, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, punitive, consequential, or special damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claim arising out of or relating to these Terms or our Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Clinic Connect and its affiliates from and against any claims, damages, costs, and expenses (including attorneys' fees) arising from or related to your use of the Service or violation of these Terms.

11. Termination

Either party may terminate your account and access to the Service at any time, with or without cause, with 30 days written notice. We may terminate your account immediately if you violate these Terms.

Upon termination, you will retain access to your data for 90 days to allow for data export. After this period, your data may be permanently deleted.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in San Francisco, California.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
